MARTHA STEWART LIVING'S "DREAMERS INTO DOERS" CONTEST AND ASSOCIATED “PEOPLE’S CHOICE CONTEST OFFICIAL RULES

NO SUBSCRIPTION, PURCHASE OR ONLINE ENTRY REQUIRED TO ENTER OR RECEIVE A PRIZE. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING.

These Official Rules apply for the Martha Stewart Living’s “Dreamers into Doers / People’s Choice Contest” (the “Contest”) conducted by Martha Stewart Living Omnimedia, Inc., 11 West 42nd Street, New York, NY 10036 (“Sponsor”) which will be promoted on its website www.marthstewart.com (the “Website”) and in the June 2009 issue of Martha Stewart Living magazine. The Contest will start at 10:00:00 AM Eastern Time (“ET”) on Friday, May 8, 2009 and will end at 11:59:59 PM ET on Monday, July 6, 2009 (“Contest Entry Period”). By entering this Contest, you agree to the Terms in these Official Rules.

  1. ELIGIBILITY: CONTEST ENTRANTS AND PRIZE RECIPIENTS MUST BE BOTH (A) LEGAL RESIDENTS OF ONE OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA (EXCLUDING PUERTO RICO AND ALL OTHER TERRITORIES) AND (B) AGED 18 YEARS OR OLDER AT THE TIME OF ENTRY TO BE ELIGIBLE. VOID WHERE PROHIBITED BY LAW.  CONTEST SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS. Employees, agents, officers, and directors of Martha Stewart Living Omnimedia, Inc. and RealTime Media, Inc. (“Administrator”) (together “Contest Entities”) and their respective parent companies, subsidiaries, affiliates, franchisees, divisions, advertising and promotion, fulfillment and/or judging agencies, (collectively, “Related Entities”), and their immediate families (parent, child, sibling, or spouse) or households of any such employees are not eligible to enter the contest.
  2. HOW TO ENTER:

    A. DREAMERS INTO DOERS CONTEST
    Nominate yourself or a friend, relative, or colleague who you believe turned an idea or dream into a successful reality (the “Nominee”). All Nominees must be women; however there are no gender restrictions regarding the person submitting the nomination. Only Nominees are eligible to win prizes. There are three (3) phases to the Contest: Phase 1: The Contest Entry Period; Phase 2: The Contest Judging Period; and Phase 3: Winner Announcement.

    PHASE 1 - The Contest Entry Period: The Contest Entry Period begins at 10:00:00 Am ET on Friday, May 8, 2009 and will end at 11:59:59 pm ET on Monday, July 6, 2009. Entries received before or after the Contest Entry Period are void and ineligible for consideration by the judges. There are two (2) ways to enter. A) Mail-In Entries: On a 8-1/2" x 11" piece of paper, hand print or type your complete name, address, telephone number, email address (if available), and the complete name and contact information of the person you are nominating (if applicable), along with an original essay written by you of no more than 250 words with an optional photograph of Nominee, describing an existing successful business venture or a non-profit organization that the Nominee was instrumental in starting.(all materials together constitutes a “Mail-in Entry”).  The name of the business or organization must be mentioned in the Mail-in Entry and must be noted as either a business or non-profit.. Send the Mail-in Entry via First Class US Mail with sufficient postage to: “Martha Stewart Living Omnimedia’s “Dreamers into Doers” Contest,” 11 West 42nd Street, New York, NY 10036. All Mail-in Entries must be postmarked by July 6, 2009 and received by July 15, 2009 in order to be eligible. No photocopies or mechanically reproduced entries permitted. B) Online Entries: Visit www.marthastewart.com/dreamers during the Contest Entry Period and follow the Contest instructions to fill out all required information, including the name and contact information of the person you are nominating and whether you are submitting as a business or non-profit. You will be asked to submit an original essay of no more than 250 words describing an existing successful business venture or a non-profit organization that the Nominee was instrumental in starting (all materials together constitute an “On-line Entry”).  The name of the business or organization must be mentioned in the Entry.  In addition, you will have the option to provide additional supporting documentation via your On-Line Entry, including but not limited to web links, pictures, Word documents, PowerPoint Presentations, and videos.  Contestants entering online must provide a valid e-mail address. Mail-in Entries and On-line Entries are hereinafter referred to as an “Entry” or the “Entries”.

    Limit one Entry per person, household, or e-mail address (regardless of the method of entry) for the duration of the contest. Multiple or duplicate Entries may be disqualified. Once submitted all Entries become the property of Martha Stewart Living Omnimedia, Inc, and will not be returned. Contest Entities are not responsible for any lost, late, delayed, illegible, incomplete, mutilated, stolen, postage-due, or misdirected Entries or for computer system, phone line, technical, hardware, software or program failures of any kind, lost or unavailable network connections, incomplete, garbled or delayed computer transmission or network connections that are human or technical in nature.

    PHASE 2 - The Contest Judging Period: The Contest Judging Period begins on Tuesday, July 7, 2009 at 12:01 AM ET time and ends on Friday, August 8, 2009 at 12:00 PM ET time. The Sponsor will select a total of two (2) grand prize winners (“Grand Prize Winners”) from the pool of Nominees submitted via eligible Entries, as follows: one (1) Grand Prize Winner in the for-profit business category and one (1) Grand Prize Winner in the non-profit business category,. The 2 Grand Prize Winners will be notified on or about August 11, 2009.

    PHASE 3 - Winner Announcement: The 2 Grand Prize Winners will be announced on the Martha Stewart Show on or about October 9, 2009.

    B. PEOPLE’S CHOICE CONTEST.

    By submitting an Entry in the Dreamers into Doers Contest as outlined above, your submitted Entry will automatically be entered into the People’s Choice Contest.

    PHASE 1 – Entry Selection and Posting: Beginning on July 8, 2009, Sponsor will choose one Entry from the previous week’s Entries in the Dreamers into Doers Contest to be featured on the marthastewart.com/dreamers website. The Nominee from the chosen Entry will be known as a “Doer of the Week.”  Each week’s “Doer of the Week” Entry will be featured on marthastewart.com/dreamers website for one (1) week, resulting in ten (10) “Doer of the Week” featured Entries over the course of the 10 weeks of the term of this Contest. Each of the ten selected Doers of the Week will be considered a finalist in the Dreamers into Doers Contest (“Finalist”).

    PHASE 2 – Public Voting: After all 10 Finalists have been featured on marthastewart.com/dreamers, visitors to marthastewart.com/dreamers will have the chance to vote for their favorite Finalist.  The voting will begin on or about September 16, 2009 at 10:00:00 AM and end on or about October 9, 2009 at 11:59:59 PM. The Finalist with the most votes as calculated by Sponsor will be declared the People’s Choice winner (“People’s Choice Winner”).

    PHASE 3 - Winner Announcement: The People’s Choice Winner will be announced on marthastewart.com/dreamers on or about October 9, 2009.

  3. ENTRY AND ESSAY REQUIREMENTS AND RIGHTS TO ESSAY: All Entries must be written in English. Once you properly submit your essay, the Entry will be entered into the Contest. Contest Entries cannot be revised or altered once submitted. Upon submission, all Entries become the property of the Contest Entities and will not be acknowledged or returned.  The Contest Entities have the right to dispose of the Entries after the Contest at Contest Entities’ discretion. Entries describing a business venture or organization that communicate a message or image inconsistent with the positive images and/or good will of the Sponsor will be disqualified. By submitting an Entry, you warrant and represent that the Entry is 100% original and was created solely by you, that the Entry does not incorporate any material owned by any third party, and that use of the Entry as described herein will not violate any law or infringe upon the rights of any third party, including but not limited to the person entrant as listed as Nominee. Entrants retain full rights and intellectual property to the methodologies, text, and other content contained in Entry.  If, in the opinion of the judges and/or Sponsor and/or at the sole discretion of the Contest Entities, the Entry violates any law or infringes upon the rights of any third party, is inaccurate, illegible, incomplete, unintelligible or irregular in any way, or otherwise does not comply with the Official Rules, the Contest Entities may disqualify the Entry. Contest Entities are not responsible for Entries that have incorrect or inaccurate information, are late or incorrectly processed, or are lost or damaged, whether caused by Internet users or by any of the equipment or programming associated with or utilized in this Contest or by any technical or human error which may occur in the processing of the Entries in this Contest. This Contest may be cancelled in the event an insufficient number of qualified Entries are received that meet the minimum standards established by the judges. By submitting an Entry, entrant irrevocably grants Sponsor the unlimited, royalty-free right to edit, modify, publish, use, re-use, not use, display or otherwise exploit the Entry and any material based thereon or derived therefrom, in any manner, for any lawful purposes whatsoever, including, without limitation, for advertising and promotional purposes in connection with the Contest and other future contests, in all forms of media now known or hereinafter developed throughout the world in perpetuity without further permission, consideration, or payment to the Entrant, except where specifically prohibited by applicable law.
  4. JUDGING CRITERIA AND WINNER DETERMINATION
    Finalist Judging Criteria: The two (2) Grand Prize Winners under the Dreamers Into Doers portion of the Contest and 10 Finalists under the People’s Choice portion of Contest will be selected from among the Nominees nominated in all eligible Entries received.  All will be selected based on the following judging criteria: Original Idea: (0-25 points); the success the Business has generated or the benefit to the local community that has been made by the Organization (0-50 points); and Public Appeal (0-25 points). The judging of Entries will be conducted by the Contest Entities, whose decisions are final and binding in all respects relating to winner selection. In the event of a tie, the tied Entrants will be re-judged by an additional judge who will serve as a tie-breaker using the same criteria as outlined herein. In the event the same Entry is submitted by more than one Entrant, only the first Entry received will qualify.  Grand Prize Winners will be notified by telephone on or about August 11, 2009.  People’s Choice potential Finalists will be notified 1-4 weeks prior to their being featured on marthastewart.com/dreamers as a “Doer of the Week.” The Administrator and/or Sponsor will attempt to contact each potential Finalist by telephone. If the Administrator is unable to reach a potential People’s Choice Finalist at the time of the telephone call, she may be disqualified and the People’s Choice Finalist appointment will be awarded to the next highest scoring entry. At the time of the telephone call, the potential People’s Choice Finalist will be asked to honestly answer up to ten (10) questions about her eligibility.  Grand Prize Winners will also be asked about their availability to participate in radio appearances, TV appearances, interviews, and photo shoots, and to attend a tapings of the Martha Stewart Show in New York City, N.Y. between August 18, 2009 and October 16, 2009 (the “Grand Prize Winner Prequalification Criteria”). The date of the special event with the Grand Prize Winners will be designated by Sponsor and is subject to change.

    If a potential Grand Prize Winner, People’s Choice Winner or Finalist does not meet the eligibility requirements, or a potential Grand Prize Winner , People’s Choice Winner or Finalist  declines the prize or cannot fulfill the Prequalification Criteria and/or is ineligible at the time of the telephone call for any other reason, the potential Grand Prize Winner, People’s Choice Winner or Finalist  will be disqualified and the Grand Prize Winner, People’s Choice Winner or Finalist  appointment will be awarded to the next highest scoring entry. This process will be repeated until two (2) Grand Prize Winners meet the Grand Prize Winner Prequalification Criteria and 10 People’s Choice Finalist are selected.  Sponsor is not responsible for fraudulent calls or e-mails made to Entrants, Grand Prize Winners, People’s Choice Winners or Finalists by anyone other than the Administrator. Potential Grand Prize Winners who meet the Grand Prize Winner Prequalification Criteria via phone will be sent an Affidavit of Eligibility and Liability and Publicity Release. Potential Grand Prize Winners must sign before a notary public and return an Affidavit of Eligibility/Prize Acceptance/Liability/Permission and (where legally permissible) a Publicity Release Form within five (5) business days of receipt. Eligibility, age, and claims made by potential Grand Prize Winners are subject to verification.
  5. PRIZES AND THEIR APPROXIMATE RETAIL VALUES (“ARV”)

    TWO (2) GRAND PRIZES: Each of the two (2) Grand Prizes consists of one (1) ten thousand dollars ($US10,000) check made payable to the Grand Prize Winner’s business or organization to be used by the business or organization, plus trip to New York City to attend a taping of the Martha Stewart Show. Each Grand Prize winner will be allowed to bring one (1) guest to travel with her. Each Grand Prize winner will be provided with round trip coach air transportation between the major commercial airport nearest the Grand Prize winner’s residence for Grand Prize winner and her guest, round trip ground transportation between airport and hotel in New York City, N.Y., ground transportation between hotel and any promotional events, and one (1) night standard double occupancy accommodations at a hotel designated by Sponsor. Total retail value of each Grand Prize is approximately: $12,500.00.

    ONE (1) PEOPLE’S CHOICE PRIZE: The one (1) People’s Choice Prize consists of one (1) two thousand five hundred dollar ($US2,500) check made payable to the People’s Choice Winner’s business or organization to be used by the business or organization.  Total retail value of the People’s Choice Prize: $2,500.00

    Total value of all prizes awarded under both portions of this Contest: $27,500. 00.

  6. PRIZE AWARDING: Grand Prize Winners will be flown to New York City, N.Y. between September 30, 2009 and October 16, 2009. In the event a Grand Prize Winner lives within 180 miles from New York City, N.Y., Sponsor will provide Grand Prize Winner with round trip ground transportation between Grand Prize Winner’s residence and New York City, N.Y. in lieu of the round trip coach air transportation. The dollar value difference between the round trip coach air transportation and ground transportation will not be provided to the Grand Prize Winner.  Sponsor reserves the right to change the dates of travel and Grand Prize Winners must travel on dates designated by Sponsor. Grand Prize Winners and companion (hereinafter, “Guest”) must travel on the same itinerary. Travel is subject to availability and blackout dates and restrictions will apply. Grand Prize Winners will be solely responsible for any and all meals and beverages, gratuities, travel upgrades, taxes, personal incidentals and any other expenses not specified as prizes herein.

    Guest must also sign before a notary public and return an Affidavit of Eligibility/Liability and Travel Release within five (5) business days of receipt. Non-compliance may result in disqualification. Guest must be at least 18 years of age at the time of travel. In the event Guest is deemed a minor under the jurisdiction of his/her state of residence, Guest must be accompanied by a parent or legal guardian.  No additional travel expenses or any other aspects of the travel related prizes will be awarded should Guest’s parent or legal guardian be required to accompany Guest. 

    Sponsor maintains no control over the personnel, equipment, or operation of any air carrier, train operator, ground transportation carrier, hotel, or other person or entity furnishing service, products, or accommodations as a part of the prize provided under this Contest and shall not be liable for any injury, death, damage, loss, expense, accident, delay, cancellation, diversions or substitution, or any act or omission, inconvenience, or other irregularity that may be caused.  Sponsor shall not be liable for any loss or damage to baggage. Grand Prize Winners and Guests will be solely responsible for obtaining valid identification relating to acceptance and use of the travel prize packages and the associated costs for these requirements. Travel prize packages are subject to any and all restrictions instituted by the Department of Defense and/or Department of Homeland Security, as required at time of travel.

    All federal, state and local taxes will be the sole responsibility of the Finalists. Finalists must supply the Sponsor with their social security numbers, Business Federal Identification Number, or 501C (3) Number for tax purposes. The Prizes will be awarded to the business venture or organization listed in the winning Entries only if the W9 is completed accordingly. The Grand Prize Winners and Finalists may be required to submit documentation that itemizes how the prize money was used for the business or organization within eighteen (18) months of prize notification. No prize substitutions or transfers will be permitted.

  7. GENERAL CONDITIONS: Use of automated devices is not valid for entry. If for any reason this Contest is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right at their sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the Contest. The Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor is not responsible for any problems or technical malfunctions of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by the Sponsor due to technical problems, human error or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

    By entering this Contest and/or accepting a prize, Entrants, Grand Prize Winners, Finalists and People’s Choice Winners: (1) agree to be bound by these rules; (2) agree to release, indemnify, and hold harmless Sponsor, Administrator, and Related Entities from any and all liability for any claim, loss, harm, damages, regulatory action, costs or expenses (including without limitation property damages, personal injury and/or death) arising out of participating in this Contest, the acceptance, possession, use or misuse of a prize, or claims based on publicity rights, defamation or invasion of privacy, copyright infringement, trademark infringement or infringement of any other intellectual property right; (3) agree to share information contained in their Entry with Sponsor, Administrator, and Related Entities; (4) consent to the use of their names, voices, photographs, videos and/or likenesses, biographical information, and all materials submitted to Sponsor, and any material based thereon or derived therefrom, for advertising and promotional purposes in any medium (whether now or hereafter known) throughout the world in perpetuity without additional permission or compensation unless prohibited by law; and (5) agree to participate in any and all publicity and promotional activities (except where prohibited) in connection with this Contest as designated by Sponsor. Grand Prize Winners and People’s Choice Winner must agree to allow Sponsor to film and/or photograph any Business or Organization activities for any purposes whatsoever, including without limitation for any advertising and promotional purposes in any medium (whether nor or hereafter known) throughout the world in perpetuity without further permission, consideration, or payment to the Grand Prize Winners or the People’s Choice Winner, except where prohibited by law.

  8. DISPUTES: In the event of a dispute as to the identity or eligibility of any entry based on an e-mail address, the entry will be declared made by the Authorized Account Holder of the e-mail address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address

    Except where prohibited, Entrant agrees that any and all disputes, claims, and causes of action arising out of, or connected with, the Contest or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the state of New York. All issues and questions concerning the construction, validity ,interpretation, and enforceability of the Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the state of New York, without giving effect to any choice of law or conflict of law rules (whether of the state of New York or any jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of New York.

  9. USE OF INFORMATION: The information that you provide in connection with the Contest may be used for Sponsor's internal purposes but will not be provided to third parties, except as necessary for the administration of the Contest or as required by law or legal process.   10. NAME OF WINNER:  To receive the name of the Grand Prize Winners or the People’s Choice Winner (available after October 16, 2009) send a self-addressed, stamped #10 envelope by December 31, 2009 to: Martha Stewart Living Omnimedia’s Dreamers into Doers Contest,” 11 West 42nd Street, New York, NY 10036.
